These Terms of Service ("Terms") govern your use of linkidene.click and any services provided by Footage & Reel Archive Co. ("we," "us," or "our"), located at 718 Kettner Boulevard, Suite 210, San Diego, CA 92101. By using our Site or engaging our services, you agree to these Terms.

1. Services Provided

Footage & Reel Archive Co. provides stock and archival footage production services, including original b-roll and scenic capture, film-to-digital preservation and transfer of legacy film reels, and licensing of clips from our catalog library.

2. Quotes, Deposits & Payment

Custom shoots and film preservation projects require a written quote and a non-refundable deposit (typically 30–50% of the project total) to secure a booking date or begin transfer work. Remaining balances are due upon delivery unless otherwise agreed in writing. Archive license fees for existing catalog footage are due in full at the time of licensing.

3. Cancellations & Rescheduling

For custom capture bookings, cancellations made at least 48 hours before the scheduled shoot are eligible for a full refund of the deposit. Cancellations made within 48 hours of the scheduled shoot forfeit the deposit to cover reserved crew time and location scouting costs already incurred. Film preservation orders may be canceled prior to the start of physical handling for a full refund; once scanning has begun, fees for reels already processed are non-refundable.

4. Licensing & Intellectual Property

Unless otherwise stated in a written license agreement, footage licensed from our catalog is provided for the specific usage scope agreed upon at purchase (e.g., commercial, editorial, broadcast). Redistribution, resale, or sublicensing of licensed footage as a standalone stock asset is prohibited without our express written consent. Custom-commissioned footage delivered under a "full usage rights" agreement transfers the agreed usage rights to the client upon full payment; Footage & Reel Archive Co. retains the right to use non-exclusive selects for portfolio and marketing purposes unless the client opts out in writing.

For film preservation projects, physical film reels and any inherent copyright in the original footage remain the property of the client submitting them. We claim no ownership over client-submitted legacy material.

5. Client Responsibilities

Clients submitting physical film reels for preservation represent that they own the material or have the legal right to have it transferred and archived. Clients are responsible for providing accurate project briefs, timely feedback, and access to filming locations where applicable.

6. Limitation of Liability

To the maximum extent permitted by law, Footage & Reel Archive Co.'s total liability for any claim arising from our services is limited to the amount paid for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages. While we maintain redundant backup systems, we recommend clients retain their own copies of original physical media submitted for preservation whenever possible.

7. Disclaimer of Warranties

Services are provided on an "as is" and "as available" basis. We do not guarantee that footage will be free of all imperfections inherent to legacy film formats, weather conditions during location shoots, or similar factors outside our reasonable control.

8. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in San Diego County, California.

9. Dispute Resolution

Before initiating formal legal action, both parties agree to attempt to resolve any dispute informally by contacting the other party in writing. If a resolution is not reached within 30 days, either party may pursue available legal remedies in the venue described above.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms.
